1. General principles
1.1 The Council is an informal representative body, appointed by the Forum of NGOs in Moldova, aiming at contributing to strengthen the efforts of NGOs in promoting the development of the civil society in the Republic of Moldova.
1.2 In the period between the Forums, the Council is empowered to take attitudes on behalf of the NGOs that participated in the Forum in any issues related to:
a) developing and consolidating the NGO sector;
b) issues that may affect / do affect the interests of the NGO members and beneficiaries;
c) state policies in the fields of interest for the NGOs;
d) donors’ policies.
2. Objectives of the Council of NGOs in Moldova
2.1 To achieve its goals, the Council intends to:
• Facilitate the dialogue between the NGOs – the Government, Parliament and other social partners;
• Prepare the Forum of NGOs and contribute to implementing the resolutions approved by the Forum;
• Develop cooperation projects of the NGOs from different fields;
• Contribute to the elaboration of a legal basis favourable for the development of the associative sector;
• Set up working groups for implementing the Forum’s decisions;
• Facilitate the exchange of information among the NGOs.
3. Council members. Appointing the Council members
3.1 The Council is made up of 9 – 11 members, according to the following criteria: voluntary participation, implication, popularity and trust from an NGO field.
3.2. The nominal composition of the Council is approved and appointed through an open voting procedure, in democratic competition, with the simple majority of votes expressed at the Forum of NGOs.
3.3. The Council members are organisations, representatives of the NGOs that participated in the Forum of NGOs, with a positive public image and sharing the principles of the NGO Code of Ethics.
3.4 Members of the Council of NGOs are represented by key-persons elected for the period in between the Forums.
3.5 Council members shall be actively participating the Council’s working activities. The unmotivated absence for more than 2 Council meetings shall be considered as a reason for exclusion; the decision on exclusion is approved by the Council with the simple majority of votes at a valid meeting.
3.6 The Council member has the right to definitively withdraw him- or herself from the Council, informing the Council members and the organisations he/she represents about the decision.
4. Meetings of the Council of NGOs in Moldova
4.1 Council meetings are conducted by the Chairperson or General Secretary. Meetings are held upon the need, but not less than once a month. The Council shall be considered deliberative, if the meeting is attended by at least 50% plus one member. The extraordinary Council meetings are convened by the Chairperson, at the demand of at least three Council members, or at the demand of the General Secretary. In the situations when a decision has to be urgently approved, the Council members shall be consulted via the electronic mail by the Chairperson and / or General Secretary.
4.2 Council meetings shall be conducted by the Chairperson, elected on a rotation basis (or appointed by a draw), by the Council members for a period of 3 months.
4.3 If a member cannot show up for the meeting, he/she shall be represented by a person with the right to vote replacing him/her.
4.4 Council meetings are open and may be attended by other persons – observers.
4.4 The General Secretary has the right to vote.
5. Decisions of the Council of NGOs in Moldova
5.1 If consensus cannot be reached, decisions shall be approved by the simple majority of votes. In the case of equality of votes, the vote of the Council’s Chairperson shall be decisive.
5.2. When approving decisions or declarations concerning the entire sector, the Council shall inform the non-governmental organisations, via any accessible information means, and shall consult the organisations prior to the approval of such decisions.
5.3. Council decisions shall be recorded in the minutes and held by the Secretary.
6. The Secretariat of the Council of NGOs
6.1. The Secretariat of the Council of NGOs shall be provided by a non-governmental organisation, on the basis of paid services within projects, selected by the Council on a contest basis, following the below criteria:
a) The organisation enjoys a good reputation and has the necessary resources (human, technical, financial) to perform the secretariat activities;
b) The organisation develops annual activity and financial reports, as well as audit reports.
6.2. The Secretariat shall:
• organise the Council meetings;
• produce and keep the minutes;
• edit decisions, decrees and declarations approved by the Council;
• multiply materials necessary for the Council meetings;
• disseminate official information on behalf of the Council.
6.3. The Secretariat activity shall be monitored and assessed by the Council and the Chairperson. In case of infringements of the Regulations, excess of powers or failure to perform its duties, the Council is entitled to select on a contest basis another organisation.
6.4. The Secretariat shall keep the official documents of the Council until its mandate expires, then it shall hand them over to the organisation responsible for the secretariat in the new format, appointed after the following edition of the NGO Forum.
7. Amendments to the Regulations
7.1 The Regulations can be approved in the new edition by the Forum of NGOs, with the simple majority of votes, or amended and completed by the Council with ¾ of votes.
7.2. In between the Forums, any proposals for amendment, completion and / or approval of the Regulations shall be put forward to the Council through the Secretariat or directly via the Council members.
8. Termination of activities of the Council of NGOs in Moldova
8.1 The Council of NGOs in Moldova can terminate its activity based on the decision of the Forum of NGOs approved with the majority of votes.
